TERMS & CONDITIONS OF USE

BLUEGATE AI LIMITED

Effective Date: 10th May 2025

This legally binding agreement (“Agreement”) governs your access to and use of the software, services, products, website, and associated technology (collectively, the “Services”) provided by BLUEGATE AI LIMITED, a private limited company incorporated in England and Wales with company number 16443374 and registered office at WR10 2LG, Pickle Barn, Naunton Beauchamp,Pershore, United Kingdom(“we,” “us,” or “our”).

By accessing or using any part of our Services, you (“User” or “you”) confirm that you have read, understood, and agreed to be bound by this Agreement in full. If you do not accept these Terms, you may not use the Services.



1. THIRD-PARTY DISCLAIMER AND PLATFORM INDEPENDENCE

1.1. BLUEGATE AI LIMITED is a fully independent software company. We are not affiliated, associated, authorized, endorsed by, or in any way officially connected with TikTok (owned by ByteDance Ltd.), or any other third-party platform.

1.2. Use of our Services may violate the terms, policies, or community guidelines of third-party platforms such as TikTok. We expressly disclaim any responsibility for ensuring compatibility or compliance with such third-party terms.

1.3. You understand and agree that your use of the Services on or in conjunction with TikTok is entirely at your own risk, and may result in account suspensions, bans, removals, demonetisation, content takedowns, or other adverse actions, for which we bear zero responsibility.



2. ACKNOWLEDGEMENT OF PLATFORM RISK

2.1. By using the Services, you acknowledge and accept that:

  • TikTok and similar platforms may use automated and/or human moderation tools to detect, penalise, or terminate accounts using automation;


  • Platform decisions are discretionary, may not follow published rules, and are non-negotiable and irreversible;


  • There is a non-zero probability that your TikTok account may be permanently terminated, restricted, or rendered unusable due to your use of our Services.


2.2. You fully assume all risks associated with such use, including reputational loss, business loss, or platform sanctions.



3. LIMITATION OF LIABILITY

3.1. Under no circumstances shall BLUEGATE AI LIMITED, its officers, directors, employees, contractors, or agents be liable to you or any third party for:

  • Loss of business revenue, profits, earnings, data, followers, or opportunity;


  • Suspension or deletion of any TikTok or other platform account;


  • Any indirect, incidental, punitive, special, or consequential damages;


  • Any claims arising from enforcement actions by TikTok or third-party platforms.


3.2. To the extent legally permissible, our total aggregate liability under all circumstances shall be strictly limited to the total amount paid by you to us for Services over the preceding 30 days.

3.3. You agree that this clause forms an essential basis of the bargain and that without this limitation, we would not provide the Services.



4. NO WARRANTIES OR GUARANTEES

4.1. The Services are provided strictly “as is” and “as available” with no representations or warranties of any kind, express or implied.

4.2. Without limitation, we make no warranties or guarantees regarding:

  • Service uptime or functionality;


  • Detection by or enforcement from third-party platforms;


  • Safety or permanence of your TikTok account;


  • Compliance with any third-party platform’s terms.


4.3. You confirm that you are solely responsible for reviewing TikTok’s Terms of Service and that you assume all liability for using our Services in violation thereof.



5. INDEMNIFICATION AND WAIVER

5.1. You agree to fully indemnify, defend, and hold harmless BLUEGATE AI LIMITED and its officers, directors, shareholders, employees, and agents from any and all third-party claims, demands, actions, lawsuits, liabilities, losses, damages, costs, or expenses (including legal fees) arising from:

  • Your use of the Services;


  • Any violation of TikTok’s or another platform’s terms;


  • Your breach of this Agreement;


  • Any consequences arising from enforcement by third-party platforms.


5.2. You waive and release all rights to bring any claim, action, or proceeding of any kind against us arising out of or relating to:

  • Use of our Services;


  • TikTok or platform enforcement actions;


  • Account suspensions, bans, or damages.




6. DISPUTE RESOLUTION & JURISDICTION

6.1. This Agreement shall be governed exclusively by the laws of England and Wales, without regard to conflicts of law principles.

6.2. You agree that any and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

6.3. You further agree to waive any class action or group litigation rights and shall bring all claims, if any, in an individual capacity only.



7. NO REFUND POLICY

7.1. All sales are final. No refunds or credits shall be issued unless required by applicable law.

7.2. You agree that once Services are accessed, used, or delivered, you forfeit any right to a chargeback, refund, or reversal.



LIABILITY WAIVER AND RELEASE AGREEMENT

This Liability Waiver (“Waiver”) is a binding acknowledgment that you (“User”) understand and accept the inherent risks of using automation tools provided by BLUEGATE AI LIMITED and release us from all liability.



1. ACKNOWLEDGEMENT OF RISK

You expressly acknowledge:

  • That you are using automation tools which may be detected by TikTok or similar platforms;


  • That detection may result in immediate suspension or permanent loss of your account;


  • That you are knowingly and voluntarily assuming this risk.




2. NO REPRESENTATION OR GUARANTEE

You acknowledge that:

  • BLUEGATE AI LIMITED has taken reasonable measures to make its software behave in a human-like manner;


  • We do not and cannot guarantee that TikTok or any other platform will not detect or penalise use of our Services.




3. WAIVER OF CLAIMS

You irrevocably and unconditionally:

  • Waive, release, and discharge BLUEGATE AI LIMITED from any and all claims, demands, actions, damages, losses, liabilities, costs, or expenses arising from or related to:


    • Account loss or suspension;


    • Revenue loss or reputational harm;


    • Business disruption, content loss, or platform penalties.




4. EXCLUSIVE REMEDY

Your sole and exclusive remedy for any claim arising from use of our Services is limited to the amount paid by you to BLUEGATE AI LIMITED for the most recent 30-day period.



5. BINDING EFFECT

By using our Services, you:

  • Confirm that you have read and understood this Waiver in full;


  • Voluntarily accept all risks;


  • Agree that this Waiver shall be binding upon you and your heirs, legal representatives, and assigns;


  • Agree that no lawsuit, arbitration, or legal action shall be filed or maintained against BLUEGATE AI LIMITED for any reason related to Services.




PRIVACY POLICY

BLUEGATE AI LIMITED

This Privacy Policy outlines how BLUEGATE AI LIMITED (“we”, “us”, “our”) collects, uses, stores, and protects personal data in accordance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.



1. DATA WE COLLECT

We may collect and process the following personal data:

  • Account Information: Name, email address, password.


  • Shop Access: We do not store your shop credentials (e.g. TikTok tokens). We only store your dashboard username and password, encrypted.


  • Usage Data: IP address, device, browser, and activity logs.


  • Communications: Emails and support inquiries.




2. SECURITY AND PRIVACY RECOMMENDATION

We advise you to use a dedicated email and password for your BLUEGATE AI LIMITED account, separate from your TikTok or primary email, to promote privacy and security.



3. HOW WE USE YOUR DATA

We may use your information to:

  • Provide and maintain your account;


  • Contact you for service updates or support;


  • Send you marketing messages (with opt-out);


  • Improve site performance and security;


  • Fulfill legal obligations.




4. EMAIL COMMUNICATIONS

By using our services:

  • You consent to receiving emails from us for account, service, and marketing purposes;


  • You may opt-out of marketing at any time.




5. YOUR RIGHTS

Under UK GDPR, you have the right to:

  • Access, correct, or delete your data;


  • Object to processing;


  • Withdraw consent;


  • File a complaint with the Information Commissioner’s Office (ICO).
